Practice Areas
Corporate&BUSINESS, INVESTMENT & TRANSACTIONS:
(I) We assist clients on corporate structuring & entity formation; general corporate counsel; acquisition & sale; and private fund formation & investment transactions.
EMPLOYMENT:
We have an extensive experience on drafting employment documents, including Offer letters; Proprietary information and goodwill protection; Massachusetts non-compete document; Independent contractor agreements; employment agreements; restrictive stock option agreements; and Employment policy, etc. We also provide advice to client on Wage & Hour compliances (minimum wage, overtime, exempt/nonexempt); Massachusetts sick leave and parental leave compliance Advice on workplace privacy issue; and Dispute resolution of employment claims including mediation, arbitration, administrative proceedings and litigation.
ALTERNATIVE DISPUTE AND LITIGATION: When a dispute arises or anticipated to take place to arise, it is imperative that clients being counseled on the appropriate course of action to avoid any party initiating any dispute resolution, particularly a lawsuit. Legal advice is necessary to determine the appropriate course of action. Our team resolves disputes for clients through various methods of alternative dispute resolution as well as litigation. Alternative dispute resolution includes mediation, and/or arbitration. We have experience and proven success representing clients in a wide array of disputes from complicated commercial matters to civil disputes. Our approach to resolving a business dispute is strategic, analytical, and practical with an aim to achieve the best results in the most cost-effective manner for clients.
NONPROFIT ORGANIZATION: We are one of the few law firms with English and Chinese bilingual skills in Massachusetts representing a broad array of tax-exempt organizations. We are proud to use our accumulated knowledge and networks with other professional service providers, such as CPA firms, to meet our clients’ specific challenges and opportunities. Our team is capable of providing knowledgeable insights and customized advice on legal issues facing most tax-exempt organizations in Massachusetts. Our nonprofit clients operate education research, photography association, Chinese culture center, children’s after school and summer camp, scientific research, and civic and voter education. We will provide the service on Incorporation of the nonprofit organization; Application of Tax-Exempt Status; Counseling; and On-going Compliance.

  • Preparation of wills, revocable/irrevocable trusts, advance medical directives, living wills and durable powers of attorney.
  • Preparation of HIPAA medical information releases.
  • Preparation for the smooth transition of wealth after your death, minimize the impact of estate taxes and protect your estate from creditors and the creditors of your children
  • Strategies to avoid expenses that deplete the value of the estate you pass on to your heirs
  • Planning to ensure that the property you designate will go to the people you designate after your death and protect inheritances in the event that your heirs get divorced
  • Traditional gifting strategies including traditional gift trusts, generation gifting trusts, grantor retained annuity trusts, grantor retained unit trusts, grantor retained income trusts, family limited partnerships, and family limited liability companies

Connie C. Dai, Partner

Dai advises emerging to well-established companies on corporate, investment, business transactions, trademark, trade secrets and employment matters. Her practice covers company structuring, formation, and draft and negotiate variety of commercial agreements. She has formed multiple private equity funds with investment in real estate, AI, healthcare, biotechnology, robotics and IOT, and has represented both portfolio companies and investors in angle round and subsequent series of investments. She also offers advice on employment matters as to offer letter, wage & hour, classification of employment, severance, and noncompete. Attorney Ye Le, Partner

Attorney Ye specializes in immigration law, with 12 years of experience helping EB-5 investors obtain U.S. permanent residency, boasting a 100% approval rate. She's skilled in securing EB-5 regional center qualifications, managing annual reports, and advising on lawful funding sources. Ye has also aided investors from Taiwan and Hong Kong in transitioning from E-2 to EB-5 visas for green card success. Her expertise extends to EB-1A, EB-1C, EB-2 NIW, and EB-3 immigration categories, as well as H-1B, L-1, and O-1 non-immigrant visas. Cheng Yun, Attorney

Attorney Cheng Yun specializes in representing corporate and individual clients in civil and commercial litigation. He assists clients with a variety of legal issues, including breaches of contract, landlord and tenant disputes in residential and commercial leases, false representations, breach of fiduciary duty, defamation, wrongful termination of contracts, and Chapter 93A of the Massachusetts Consumer Protection Act. Mark W. Williamson, Attorney

Wang Shuyao, Attorney

Lawyer Wang has dual experience in dispute resolution and business transactions. She has worked in the Hong Kong office of JunHe Law Firm, engaging in international arbitration, commercial litigation, and capital market bond transactions. Lawyer Wang holds a New York State (U.S.) attorney license as well as a Chinese lawyer license (non-practicing).

She has served as a legal assistant for commercial litigation and international arbitration in the Hong Kong offices of Quinn Emanuel and Stephenson Harwood.
